General Terms and Conditions of Sale – Hi-di-hi BV

1. Applicability
The following terms and conditions apply to all sales by Hi-di-hi BV.
By placing an order, the buyer acknowledges having read and accepted these terms and conditions without reservation.
Deviations are only valid if confirmed in writing by Hi-di-hi BV.
All agreements are governed by Dutch law.
Any disputes shall be submitted to the court in the district where Hi-di-hi BV is established, unless Hi-di-hi BV opts for another competent court.

2. Agreements
• All offers and order confirmations are binding, unless otherwise agreed in writing.
• Deliveries will only take place after full prepayment.

3. Delivery
Delivery and risk pass to the buyer once the goods have been handed over to the carrier or collected by the buyer.
If the buyer fails to call off goods on time, the last day of the agreed term shall be deemed the delivery date.
After the delivery date has passed, a follow-up delivery period of three working days automatically applies.
Hi-di-hi BV is not liable for delays or non-delivery due to force majeure (such as strikes, war, transport problems, or supplier disruptions).
In the event of late or incorrect delivery, the buyer cannot claim damages unless intent or gross negligence by Hi-di-hi BV can be proven.

4. Payment
a. Payments are first applied to the oldest outstanding invoices.
b. The payment date is the day on which the amount is credited to the account of Hi-di-hi BV.
c. If payment is not received by the due date, the buyer is automatically in default, and delivery may be suspended.
d. An order may be canceled or modified within 14 days of the order confirmation.
e. If the buyer fails to take delivery without a valid reason, 10% of the purchase value will be charged.
f. All delivered goods remain the property of Hi-di-hi BV until full payment has been made. As long as payment is outstanding, the buyer may not sell or pledge the goods. In case of repossession, the buyer will be credited at the market value on the day of repossession.

5. Complaints (Claims)
• Complaints must be submitted in writing within 14 days of receipt, clearly described, and with goods in their original state.
• Minor differences in color, size, print, or finish that cannot be technically avoided do not constitute grounds for a complaint.
• For justified complaints, Hi-di-hi BV may choose to issue a credit, repair, or replacement within 30 days.
Hi-di-hi BV is not liable for consequential, delay, or business damages, unless intent or gross negligence can be proven.
Any damage claims are limited to the invoice amount of the relevant delivery.

6. Returns and Cooling-Off Period
• The buyer must notify Hi-di-hi BV in writing within 14 days of receipt if an item is to be returned.
• The buyer then has 14 days to actually return the item.
• If the last day of this period falls on a weekend or public holiday, the next working day applies.
• If the buyer uses their own shipping method, Hi-di-hi BV is not liable for loss or damage during transport, and shipping costs are not reimbursed.
• Upon receipt of a valid return, Hi-di-hi BV will initiate the refund process within seven working days.
• For partial returns (not the entire order), shipping costs are borne by the buyer.
• Gift cards are excluded from returns and cannot be redeemed for cash.

Conditions for Returns:
A product is only eligible for a refund if:
• it was purchased through the Hi-di-hi BV wholesale or webshop;
• it is unused, clean, complete, and in its original packaging;
• the return form is included (or requested digitally).

Defects on Receipt
If a product shows defects upon receipt (other than minor deviations):
• Hi-di-hi BV may choose to provide a free replacement, an alternative product, a discount, reimbursement of repair costs, or a full refund.

Warranty
All products are covered by a statutory 12-month warranty, starting from the date of purchase.
The warranty is void in cases of:
• damage caused by intent, negligence, or improper use;
• excessive wear;
• damage caused by not following care instructions;
• signs of extreme use or overloading.

Claims must be submitted in writing, with at least three clear photos.
Hi-di-hi BV will respond within three working days and provide an appropriate solution.

7. Sales Terms for Resellers
1. Resale Restriction
Stores that purchase Hi-di-hi, Noi-Noi, or EEEZI products are not permitted to resell these items to other stores or resellers, unless prior written permission has been granted by Hi-di-hi.

2. Regional Exclusivity
Hi-di-hi reserves the right to determine which stores within a certain area may sell its products. As a general rule, our products will not be sold to multiple stores located within a radius of 10 kilometers, unless Hi-di-hi provides written approval or agrees otherwise in consultation with the involved retailers.

3. Decision Authority
All decisions regarding sales areas and exclusivity remain solely at the discretion of Hi-di-hi. Retailers are not authorized to make independent arrangements with other retailers regarding sales territories or exclusivity.

8. Disputes
If the buyer and seller cannot reach an agreement regarding a warranty claim, the dispute will be submitted to the European Dispute Resolution Committee.
All agreements are subject to European law.
Disputes are settled by the competent court in Amsterdam unless Hi-di-hi BV chooses the court in the buyer’s country or place of residence.
